Terms and Conditions of Use

This document governs the access to and the use of the NivelixPro Platform (the "Platform"), owned by NivelixPro LLC, with registered office at 407 Lincoln Road, Suite 708, Miami Beach, FL 33139, USA ("NivelixPro").

Registration on the Platform implies the express and unreserved acceptance of all the clauses set out in this document. If you do not agree with any of them, you must refrain from using the service.

NivelixPro provides a software-as-a-service (SaaS) that allows the user to configure, automate and supervise trading strategies on compatible crypto-asset exchanges, using the API keys that the user enters voluntarily.

NivelixPro does not custody funds, does not execute proprietary trades and does not provide investment services, financial advice or discretionary portfolio management. Orders are executed directly on the exchange contracted by the user and under their sole responsibility.

To register and use the Platform you must:

• Be of legal age under the law of your country of residence (in any case, at least 18 years old).
• Have full legal capacity to enter into binding contracts.
• Not reside in or operate from a country subject to international sanctions imposed by OFAC, the UN or the European Union.
• Accept this version of the Terms, the Privacy Policy and the Risk Disclosure.

The account is personal and non-transferable. The user is solely responsible for the confidentiality of their credentials (email, password and, if enabled, two-factor authentication), as well as for the custody of the API keys connected to the exchanges.

Any activity carried out from the account will be deemed to have been performed by the user. NivelixPro recommends creating API keys with read-and-trade permissions only, no withdrawal, and revoking them immediately in case of suspected unauthorized access.

NivelixPro offers different subscription plans whose features, limits and prices are detailed in the registration flow and in the user panel.

The subscription renews automatically at the end of each period, unless the user expressly cancels it before expiry. Payments are processed through Stripe or, where applicable, crypto payment gateways. NivelixPro does not store the full payment card data.

For consumers resident in the European Union, in accordance with Article 16(m) of Directive 2011/83/EU and equivalent provisions, the supply of digital content not delivered on a tangible medium excludes the 14-day right of withdrawal once performance has begun with the consumer's express consent and acknowledgement of the loss of that right, which is deemed accepted upon registration and account activation.

The user undertakes to:

• Use the Platform exclusively for lawful purposes in accordance with the legislation applicable in their country of residence.
• Not to reverse-engineer, decompile, mass-scrape or attempt to circumvent technical protection measures.
• Not to use the Platform to carry out market-manipulating transactions, money laundering or any other unlawful activity.
• Not to share their account or use a single account for multiple holders.
• Not to introduce offensive, malicious or illegal content into communication channels (tickets, comments, Academy forum).

NivelixPro makes reasonable efforts to maintain the availability of the Platform 24 hours a day. However, the service may be interrupted due to scheduled maintenance, external attacks, infrastructure errors (whether ours or third parties' such as exchanges or cloud providers) and other force majeure causes.

Uninterrupted availability is not guaranteed. NivelixPro will communicate relevant incidents by email or from the panel itself, and will apply the recovery and backup procedures described internally.

To the fullest extent permitted by applicable law, NivelixPro shall not be liable for:

• Financial losses arising from the user's operations on connected exchanges, whether caused by bot configuration, market volatility or extraordinary events.
• Temporary or definitive unavailability of exchanges, delays in order execution, slippage, API failures or other events outside NivelixPro's direct control.
• Indirect damages, loss of profit, loss of opportunity or third-party claims.
• Misuse of the Platform by third parties who irregularly access the user's credentials.

NivelixPro may suspend or cancel the account of any user who breaches these terms, who uses the Platform fraudulently or who jeopardises the security of the system, with no obligation to compensate.

The user may cancel their account at any time from the configuration panel. Cancellation does not entitle the user to a refund of the current period, save where required by law.

All intellectual and industrial property rights in the Platform, its source code, design, trademarks, logos and editorial content belong to NivelixPro or its licensors. Any reproduction, distribution or modification without prior express written authorization is prohibited.

NivelixPro may amend these Terms to adapt them to legal changes or to the evolution of the service. Substantial changes will be notified by email at least 30 days in advance, allowing the user to cancel their subscription without penalty if they do not accept the new version.

These Terms are governed by the laws of the State of Florida (USA), without prejudice to the mandatory rights granted to the consumer by the legislation of their country of residence.

For the resolution of any dispute, the parties submit exclusively to the courts of Miami-Dade County, unless the consumer is entitled, by virtue of their status, to bring proceedings before the courts of their domicile.
